SEOUL, South Korea and CUPERTINO, Calif., June 22, 2015 /PRNewswire/ — MagnaChip Semiconductor Corporation (“MagnaChip”) (NYSE: MX), a Korea-based designer and manufacturer of analog and mixed-signal semiconductor products, announced today that it received the Korea Patent Technology “King Sejong” grand prize award for the first half of 2015 granted by the Korean Intellectual Property Office.

The award was in recognition of MagnaChip’s “Stepped-Gate Oxide Extended Drain MOSFET Semiconductor Device and Manufacturing Method.” This technology is targeted at applications such as AMOLED and LED TV Display Driver ICs. This technology has advantages over the existing medium voltage MOSFET in that it has low threshold voltage and high saturation current, making it well-suited for small size transistors.

In addition, this technology is suitable for applications requiring die-size shrinks because there is no thermal degradation as it relates to breakdown voltage and leakage current. This enables increased die-yields per wafer thereby reducing the unit cost to the customer.

“We are very pleased to have received this prestigious Korea Patent Technology Award from the Korean Intellectual Property Office. This is a strong endorsement of MagnaChip’s technological capabilities,” said YJ Kim, CEO of MagnaChip. “Our focus is to expand our R&D efforts to continue to grow our patent technology portfolio to help our customers enhance the competitiveness of their products.”

SEOUL, South Korea and CUPERTINO, Calif., May 28, 2015 /PRNewswire/ — MagnaChip Semiconductor Corporation (“MagnaChip”) (NYSE: MX), a Korea-based designer and manufacturer of analog and mixed-signal semiconductor products, today announced financial results for the first quarter ended March 31, 2015.

The Company also announced the appointment of YJ Kim, a semiconductor industry veteran, as Chief Executive Officer and a member of the Company’s Board of Directors, and Jonathan Kim as Executive Vice President and Chief Financial Officer. Both held the same posts on an interim basis for the past year. In addition, the Company named Theodore Kim as Executive Vice President and Chief Compliance Officer, a newly created position, reporting directly to the Board of Directors. He continues to serve as General Counsel.

On behalf of MagnaChip’s Board, Chairman Doug Norby said, “I am pleased that, after conducting a broad and thorough search process, the Board has unanimously appointed YJ to lead MagnaChip and Jonathan to serve as CFO. As interim CEO, YJ provided strong leadership and strategic vision to the Company during this important period. Jonathan successfully led the completion of the restatement process, and has proven himself to be a very capable financial executive. The Board looks forward to working with the two leaders to improve MagnaChip’s performance.”

Revenue for the first quarter of 2015 was $164.9 million, a 1.7% decline compared to $167.7 million for the fourth quarter of 2014 and flat compared to $164.2 million for the first quarter of 2014.

Gross profit was $35.0 million or 21.2%, as a percent of revenue, for the first quarter of 2015. This compares to gross profit of $34.5 million or 20.6% for the fourth quarter of 2014 and $40.3 million or 24.5% for the first quarter of 2014.

Net loss, on a GAAP basis, for the first quarter of 2015 totaled $20.0 million or $0.59 per diluted share. This compares to a net loss of $63.8 million or $1.87 per diluted share for the fourth quarter of 2014 and a net loss of $21.6 million or $0.63 per diluted share for the first quarter of 2014. Net loss was impacted primarily by lower revenue and gross margin as well as by substantial accounting, legal and other related costs associated with our restatement and certain related litigation and other regulatory investigations and actions.

“We continue to face major challenges as a result of strategic missteps in the past, so we have implemented a comprehensive cost and portfolio optimization program to position MagnaChip for growth over the long-term while we also work to improve fab utilization and boost engineering efficiencies,” said CEO YJ Kim. “Our goal is to broaden our customer base, expand into new markets including sensors and the Internet of Things (IoT), accelerate product innovation and improve engineering productivity. To help achieve these goals and streamline product functions, we recently combined our Display Solutions and Power Solutions divisions into a single Standard Products Group.”

MagnaChip also announced today that HK Kim, Executive Vice President and General Manager of the Power Solutions Division, and Brent Rowe, Executive Vice President of Worldwide Sales, have resigned. The Company announced earlier this month that TY Hwang, formerly the President and Chief Operating Officer, resigned effective April 30.

“We devoted substantial efforts and resources to getting caught up on our delayed SEC filings. With today’s filing of our 2014 10-K and with the filing of our 10-Q for the first quarter of 2015, which we expect to file within the next two weeks, we will be current with our filings and plan to be a timely filer starting in the second quarter,” said Jonathan Kim, Chief Financial Officer. “We are committed to achieving and maintaining a strong internal control over financial reporting and financial reporting integrity.” In addition, Mr. Kim said, “We have engaged a global consulting firm with considerable expertise in cost and portfolio optimization to help us focus on strategies to emerge from our current challenges and to drive our business forward and return long-term value to our shareholders.”

Adjusted net loss, a non-GAAP measurement, for the first quarter of 2015 totaled $9.6 million or $0.28 per diluted share compared to an adjusted net loss of $10.8 million or $0.32 per diluted share for the fourth quarter of 2014 and an adjusted net loss of $6.4 million or $0.19 per diluted share for the first quarter of 2014.

Management believes that non-GAAP financial measures, when viewed in conjunction with GAAP results, can provide a more meaningful understanding of the factors and trends affecting MagnaChip’s business and operations. However, such non-GAAP financial measures have limitations and should not be considered as a substitute for net income or as a better indicator of our operating performance than measures that are presented in accordance with GAAP. A reconciliation of GAAP results to non-GAAP results is included following the financial statements.

Combined cash balances (cash and cash equivalents) totaled $91.4 million at the end of the first quarter of 2015, a decrease of $11.0 million from the end of the prior quarter.

SEOUL, South Korea and CUPERTINO, Calif., April 20, 2015 /PRNewswire/ — MagnaChip Semiconductor Corporation (“MagnaChip”) (NYSE: MX), a Korea-based designer and manufacturer of analog and mixed-signal semiconductor products announced today that it has kicked-off an Internet of Things (IoT) task force and will offer diversified products with ultra-low power technology in anticipation of the fast growing IoT market. Gartner estimates that the processing, sensing and communications segments of the IoT market will grow at a compound annual growth rate (CAGR) of 29.2% from $7B in 2013 to $43B by 2020. This rapid growth rate outpaces the rest of the semiconductor industry which is predicted to grow at a rate of 4.6% over the same period.

MagnaChip offers a 0.18 micron ultra-low power technology that enables System-on-a-Chip (SoC) applications with low active and low stand-by power consumption. This new process features very low start-up voltage and enables DC-DC Boost Converters to be suitable for IoT applications. Another important technology feature is operational efficiency. This process allows for low electrical current draw, which is suitable for IoT devices such as solar cells, thermoelectric generators, vibration energy harvesters and electromagnetic harvesters.

Based on its already developed 0.18 micron ultra-low power technology, MagnaChip also plans to provide a diversified portfolio within the ultra-low power sector. This includes 0.13 micron ultra-low power EEPROM, Bipolar-CMOS-DMOS (BCD) and mixed-signal technologies. Ultra-low power technology is a key element for conserving energy usage within IoT devices. IoT applications demand an always on, low-power energy source and long battery life which are requirements that MagnaChip’s ultra-low power technology enables.

MagnaChip also offers 0.18 micron and plans to offer 0.13 micron Silicon on Insulator (SOI) RF-CMOS technologies, which is suitable for use in antenna switching, tuner and Power Amplifier (PA) applications. Switches and tuners are core components of wireless Front-End-Modules (FEMs) for cellular and Wi-Fi connectivity in IoT devices. MagnaChip’s CMOS based FEMs reduce manufacturing cost and time to market while providing competitive performance for multiband and multimode smartphones, tablets and other IoT devices.

Furthermore, MagnaChip’s 0.13 and 0.18 micron BCD technologies support high-voltage (up to 100V) and high-efficiency power ICs such as voltage regulators and converters, Power-over-Ethernet and smart LED Lighting solutions, which are essential power elements in IoT applications. With the combination of power devices with lower Specific On-Resistance (Rsp, defined as drain-source resistance times device area, Rds*A), improved isolation and higher reliability, MagnaChip’s 0.13 and 0.18 micron BCD processes will help our foundry customers to design IoT products with smaller and more power efficient characteristics.

“We believe there is tremendous growth opportunity in the IoT market and our participation is part of our overall strategy to broaden our product portfolio in new markets,” said YJ Kim, MagnaChip’s interim Chief Executive Officer. “MagnaChip’s IoT task force and business consortium with key business partners will reinforce our position as a key manufacturing service provider in the expanding IoT market.”

As previously disclosed by the Company in its Form 12b-25 filed with the Securities and Exchange Commission (the “SEC”) on March 17, 2015, because of the time, effort and resources required to complete the Company’s 2013 Annual Report on Form 10-K, as well as the Company’s 2014 Quarterly Reports on Form 10-Q for the quarterly periods ended March 31, 2014, June 30, 2014 and September 30, 2014, each of which was filed with the SEC on February 12, 2015, the Company was substantially delayed in initiating its 2014 fiscal year end close and audit. The Company is currently in the process of completing the preparation of its financial statements for its fiscal year ended December 31, 2014 and its 2014 Form 10-K, and currently anticipates filing its 2014 Form 10-K in the second quarter of 2015; however, the Company cannot provide any assurances at this time that it will be able to meet its expected timing.

The NYSE has informed the Company that, under the NYSE rules, the Company will have six months (until September 30, 2015) to file its 2014 Form 10-K with the SEC. If the Company fails to file its 2014 Form 10-K on or before such date, then the NYSE may, in its sole discretion, grant an additional extension of up to six months depending on the specific circumstances. The letter from the NYSE also notes that the NYSE may commence delisting proceedings at any time during the extension period if the circumstances warrant.
